EXPERIENCED LEADERSHIP, RAPID RESPONSE, AND EXACTLY MATCHED TALENT

M&A, Divestitures and Integrations

M&A is likely to remain a key value creation lever as pharmaceutical and medical device firms pursue innovation, economies of scale, and portfolio realignment. To maximize value created, firms are looking to infuse additional efficiencies into their integration and divestiture processes. The Evanston Group can help, with a two decade track record of partnering with life sciences leaders to ensure the fast, efficient, and effective execution of integration and divesture projects.

PROJECT LEADERS AND SUBJECT MATTER EXPERTS SUPPORT DIVESTITURES AND INTEGRATIONS ACROSS FUNCTIONAL AREAS

For over two decades, we’ve helped life sciences leaders ensure the fast, efficient, and effective execution of integrations and divestures.

The Evanston Group supports clients across all functional areas affected by divestitures and integrations. Sometimes that means providing an interim Integration Management Office (IMO) director. Or a commercial workstream leader. A team to help R&D build stage-gated product development processes for the new company. A team to work within supply chain and manufacturing to harmonize global processes for the combined organization. Or an integration project within the enterprise PMO. We’ve done it all.

And the execution support we provide fits well with the high-level strategic services a large consulting firm might provide. Our deep subject matter expertise in the functional aspects of life sciences businesses and two decades of project and program management experience enables us to drive the more granular and very important process changes. Our right-size business model is well-suited to the execution stage of an integration or divestiture.

GLOBAL BUSINESS PROCESS TRANSFORMATION CONSULTANTS FOR $40 BILLION PHARMA SPIN

From one integration or divestiture to the next, clients rely on The Evanston Group as a partner for the long term.

There are a number of Fortune 500 pharmaceutical and medical device leaders that have relied on The Evanston Group for support through multiple integrations and divestitures. That was the case for this $40 billion pharma that first came to us for help executing a massive spin-off across 110 countries in just 18 months.

Working with the Vice President & Director of Operational Readiness for Global Business Process Transformation, we delivered three distinct master cutover plans that were broad enough to be implemented around the world and at the same time easily customized to meet each country’s unique individual needs. We helped the client save approximately $5 million and avoid all potential tax penalties (the client had to get off the transition services agreement and meet certain regulatory deadlines in order to not get penalized).

The impact was so significant that the client’s CFO personally thanked our consultants and awarded them for top performance. And since that spin, the client has engaged us twice again to help with post-acquisition integration.

IMO INTERIM DIRECTOR, WORKSTREAM LEADS, TSA EXPERTS, AND VEEVA INTEGRATORS FOR MULTIPLE INTEGRATIONS AND DIVESTITURES

Merge, acquire, integrate, divest, repeat. With experts who’ve been through it all before, we can help you manage the lifecycle

This is another example of a client that has relied on The Evanston Group across multiple integrations and divestitures. The client first engaged us to help manage the large acquisition of another medical device company. We provided an interim Integration Management Office (IMO) director and two workstream leads who served as intermediaries between the IMO and the business units. Together, the team worked to ensure the efficient harmonization of  people, processes and tools through the integration. We also provided specialized consultants to fill positions temporarily vacated by people serving on the integration team.

Not long after, the company spun its pharmaceutical division. The Evanston Group provided a program manager and a financial consultant who worked to develop the standalone people, processes and technologies that would enable the new company to get off the transition services agreements (TSAs) efficiently and within the predefined timeframe. Given that the new company was no longer both medical device and pharma, but only pharma, we helped build out the required new processes, including stage-gated product development R&D.

Then that company was acquired and The Evanston Group was once again called in to help with the integration. Specifically, we helped to build out the integrated company’s Veeva processes for clinical and to consolidate processes for the integration of clinical trials.

Testament to the value of long-term partnership with The Evanston Group, one of the key leaders at the organization we helped integrate, divest, and integrate, recommended us to the CFO at a medical device firm. We provided five consultants to support the CFO there, helping her team with people, processes and technology integration associated with the company’s newest acquisition.
